Celtique Energie Petroleum Ltd sold the wholly owned Italian subsidiary Celtique Energie S.p.A to Sound Oil plc for a total consideration of US$9.0 million. The consideration comprises US$5.0 million in cash from (cash consideration of US$4.4 million and US$0.8 million in settlement of an inter-company loan net of US$0.2 million cash held by Celtique), plus 59,003,029 Sound Oil ordinary shares to the value of US$2.5 million (locked in for between 6 and 24 months) and 32,995,553 Sound Oil ordinary shares to the value of US$1.5 million (not subject to a lock in)

On 20th October the Romanian authority “Agenţia Naţională pentru Resurse Minerale” commonly known as NAMR approved the assignment of Grivita Nord and Stoeinita concessions from Celtique Energie Petroleum Ltd to the wholly owned subsidiary Celtique Energie SRL.

The assignment of a 50% equity in the Italy Carita permits to Apennine Energy SRL together with operatorship of Carita was approved by the Italy authorities in December 2010. The assignment of a 50% interest in the Italy Torrente Alvo permit permits and the Italy Montenegro permit were approved by the Ministry in February 2011. Celtique Energie Spa remains the operator of these two Basilicata permits.
